Terms of Service

1.Parties & Acceptance

These Terms of Service (the "Terms") form a legal agreement between you ("User", "you") and TokenON Pte. Ltd. (Singapore company · UEN 202414657N, "TokenON", "we") regarding your use of tokenon.ai, its subdomains, APIs and applications (collectively the "Service").

(tokenon.io is the group corporate site operated by an affiliated entity, outside these Terms' scope.)

1.1 Click-wrap Agreement

• Clicking "Claim $5", "Continue", "Sign up", "Confirm" or any equivalent button
• Completing GitHub / Google / any third-party SSO or OAuth login
• Clicking the magic link in our verification email
• Starting to use the Service in any manner

Under Singapore's Electronic Transactions Act §6 and §8, such actions constitute a valid electronic signature, carrying the same legal force as a hand-written signature.

You agree not to claim "I didn't read", "I didn't print", "I didn't sign" or similar grounds to avoid these Terms' binding effect.

1.2 Age & Capacity

You confirm: you are at least 18 years old with full legal capacity; if acting on behalf of an entity, you have authority to bind it.

2.Services

• AI model API aggregation — OpenAI, Anthropic, Google, xAI, Meta, Mistral, DeepSeek, Qwen, Kimi, GLM, Doubao, Yi and more
• Pay-as-you-go wallet — prepaid balance, charged by token consumption
• 3-tier affiliate program — L1/L2/L3 commission
• Enterprise features (future) — members, departments, API keys, invoicing
• Provider platform (future) — AI model vendor onboarding & settlement

Service is provided "as-is". We may add, modify or discontinue features; material changes will be notified in advance.

3.Account

3.1 Creation

• Register via magic-link email or OAuth (GitHub / Google)
• One personal account per natural person
• Email and phone you provide must be valid

3.2 Security

• You are responsible for safeguarding login credentials
• All actions through your account are deemed your actions
• Report account compromise immediately to contact@tokenon.io

3.3 Suspension / Termination

We may suspend or terminate your account for:

• Violation of these Terms or AUP (§4)
• False identity or identity theft
• Fraud, money laundering, terrorism financing
• Refusal to cooperate with anti-fraud investigation
• Legal or regulatory requirements

4.Acceptable Use (AUP)

You shall not use the Service for:

• Generating or spreading illegal content (CSAM, terrorism, trafficking)
• Infringing third-party IP (copyright, trademark, patent, trade secret)
• Generating illicit instructions (weapons, explosives, drugs)
• Harassment, defamation, stalking against individuals
• Deepfakes or scams targeting real persons
• Bypassing model safety (jailbreak, prompt injection)

• Reverse engineering, decompilation
• Automated bulk scraping of model outputs for competing training
• Bypassing rate limits, quotas, billing
• Sharing API keys (except enterprise seats)
• Malicious refunds or chargebacks

Consequences

1. Warning + content filtering upgrade
2. Account suspension + balance frozen for investigation
3. Account termination + confiscation of ill-gotten gains + forfeiture of all affiliate commissions
4. Report to authorities (where applicable)

5.Billing, Charges & Refunds

5.1 Pricing

• Priced in USD, settled in local currency at gateway rate
• Charged by token count, per-model rates on pricing page
• We may adjust pricing with 7 days' notice

5.2 Top-up

• Alipay, WeChat Pay, bank transfer; Stripe / USDT coming
• Minimum $10, maximum $10,000 per transaction
• Top-up balance has no expiry

5.3 Deduction

• Charged per actual call, 6-decimal precision
• Calls rejected on insufficient balance (no overdraft)
• Wallet records update in real time

5.4 Gifts & Bonuses

• Signup gifts, referral bonuses, promotional awards are all "Gift Balance"
• Gifts are for service consumption only, not cashable, not transferable
• Gift balance is consumed first

For all gifts issued during the 2026 pre-launch campaign (including but not limited to: $5 signup gift, $15 L1 invite bonus, other activity awards), the following activation rules apply:

• Activation window: must activate within 7 calendar days after May 5, 2026 launch (i.e. before May 12, 2026, 23:59 SGT)
• How to activate: log in and invoke at least one AI model call
• Expiry: gifts automatically void and forfeit · unrecoverable by any means
• Reminders: three reminder emails on May 5, May 8, May 10; non-receipt is not valid ground for extension
• No retroactive claim: this clause binds you from the moment of signup · you cannot invoke "I didn't know" after expiry

Once activated, gift balance has no expiry.

5.5 Refund Policy

• Under Singapore's Consumer Protection (Fair Trading) Act, digital services delivered instantly are non-refundable
• Pro-rata refunds possible for: we discontinue service · billing errors · account compromise reported within 72h
• Gift balance is never refundable

6.Affiliate Program

6.1 Tiers & Commissions

6.2 Calculation & Settlement

• Commission credited to "Pending" balance in real time
• T+7 freeze — downstream refunds within 7 days auto-rollback
• After 7 days, auto-transfer to "Withdrawable" balance
• Monthly withdrawal on the 1st (≥ $50 threshold)

6.3 Anti-fraud

• Self-referral — using own code for alt accounts
• Fake invites — disposable emails, bot-registered downlines
• Wash trading — collusion to inflate downstream spend
• Identity theft — impersonating others
• Deceptive promotion — false promises, spam marketing

6.4 Upline Binding

• Once registered via an invite link, upline is permanently bound
• No upline changes, no line-jumping

7.Intellectual Property

7.1 TokenON IP

All software, trademarks, design, docs, API specs belong to TokenON or its licensors. These Terms grant no rights beyond what's necessary to use the Service.

7.2 Your Content (Prompts)

• Your prompts and context are yours
• You grant TokenON a non-exclusive, free, global, non-transferable license solely for: (a) delivering service · (b) ops/debug/anti-fraud · (c) aggregate de-identified metrics
• We will NOT use your prompts to train any AI model

7.3 AI Output (Completions)

• Outputs come from third-party model vendors
• Multiple users may receive similar or identical outputs; no exclusivity guaranteed
• You bear all consequences of using AI outputs

8.Third-Party Models Disclaimer

TokenON is a technology aggregator, not a model trainer. For third-party models:

• We make no warranty as to accuracy, legality, or fitness of outputs
• Vendors may upgrade, delist or rate-limit at any time — we'll try to notify but bear no switching cost
• Your calls are bound by each vendor's Acceptable Use Policy

9.Limitation of Liability

9.1 No Warranty

Service is provided "as-is" and "as-available". To the maximum extent permitted by law, we make no express or implied warranties.

9.2 Cap

Our aggregate total liability shall not exceed the greater of:

• US $100, or
• amounts you actually paid TokenON in the 12 months preceding the claim

9.3 Indirect Damages Excluded

We shall not be liable for any indirect, incidental, special, punitive, or consequential damages.

10.Termination

10.1 By you

• Delete anytime in account settings
• Unused top-up balance refundable (not gifts)

10.2 By us

• Immediate termination under §3.3 or §4
• Service wind-down: 30 days' notice, full refund of unused top-ups

11.Changes to Terms

• Material changes notified 30 days ahead via registered email
• "Terms updated" banner on homepage
• Continued use after effective date constitutes acceptance

12.Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Singapore.

12.2 Good-Faith Negotiation

We commit to written reply within 30 days.

12.3 Arbitration

Failing negotiation, disputes go to Singapore International Arbitration Centre (SIAC). Seat: Singapore. Language: English. Arbitrators: 1.

12.5 Class Action Waiver

You agree to bring claims only in individual capacity, waiving class action rights.

13.Force Majeure & Misc

• Force majeure — war, disaster, terrorism, large-scale cyber attacks, pandemics relieve breach
• Severability — invalid clauses don't affect others
• Entire agreement — these Terms + Privacy Policy + addenda
• No assignment without our written consent
• Language — in case of conflict, English prevails
